Terms of Service
1. Agreement to Terms
By accessing or using the services provided by Outbound Optimizer ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
2. Services
Outbound Optimizer provides AI-powered outbound sales automation, including AI cold email campaigns, AI voice calling, AI reply handling, automatic meeting booking, CRM tracking, and related services. Specific deliverables and scope are defined in your separate service agreement or order form.
3. Eligibility and Accounts
You must be at least 18 years old and authorized to bind the business you represent in order to use our services. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.
4. Client Responsibilities
You agree to provide accurate information, lawful lead lists, and any access required for us to perform the services. You represent that you have the necessary rights and consents to contact the prospects you provide and that your use of the services complies with all applicable laws, including marketing, telemarketing, anti-spam, and data protection regulations.
5. Acceptable Use
You agree not to use the services to send unlawful, deceptive, harassing, or infringing communications; to contact individuals on do-not-call or suppression lists; or to violate any applicable law. We may suspend or terminate the services if we believe these terms are being violated.
6. Fees and Payment
Fees are described in your order form or invoice. Unless otherwise stated, fees are billed in advance, are non-refundable except as described in our Refund Policy, and are exclusive of taxes. Late payments may incur interest and result in suspension of services.
7. Intellectual Property
We retain all rights in our software, models, prompts, workflows, and other proprietary materials. You retain ownership of your content and data. You grant us a limited license to use your content and data solely to deliver the services.
8. Confidentiality
Each party agrees to protect the other's confidential information using reasonable care and to use it only as necessary to perform or receive the services.
9. Disclaimers
The services are provided "as is" without warranties of any kind. We do not guarantee any specific number of meetings, replies, conversions, or revenue. AI-generated outputs may contain errors and should be reviewed before reliance.
10. Limitation of Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the services shall not exceed the fees paid by you to us in the three months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold us harmless from any claims arising out of your lead data, the contacts you target, your content, or your violation of these terms or applicable law.
12. Termination
Either party may terminate the engagement as described in the order form. We may suspend or terminate access immediately for material breach, non-payment, or unlawful use. Sections that by their nature should survive termination will survive.
13. Changes to These Terms
We may update these Terms of Service from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the services after changes take effect constitutes acceptance.
14. Governing Law
These terms are governed by the laws of the jurisdiction in which Outbound Optimizer is established, without regard to conflict of law principles. Any disputes will be resolved in the courts of that jurisdiction.
